Terms and Conditions of Service for LaunchPad by CodeFarm

Please read these Terms and Conditions (“Terms,” “Terms of Service”) carefully before using the LaunchPad by CodeFarm website and services (the “Service”) operated by [Your Full Legal Company Name in Egypt] (“us,” “we,” or “our”).

Your access to and use of the Service is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who wish to access or use the Service.

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you do not have permission to access the Service.

1. Definitions

  • Service: Refers to the website/mobile app development, deployment, managed hosting, maintenance, and associated support services provided by LaunchPad by CodeFarm. This includes bespoke software development and integrations as separately agreed upon.
  • Client/You: The individual or entity subscribing to our Service.
  • Website/Project: The specific website or mobile application developed and managed by us for the Client. Note that a Client account can manage multiple independent Websites/Projects, each with its own subscription.
  • Subscription: The recurring payment plan chosen by the Client for each individual Website/Project.
  • Setup Fee: The one-time fee charged for the initial development and deployment of a Website/Project.
  • Paymob: Our third-party payment processing provider for all transactions.

2. Service Description

LaunchPad by CodeFarm provides customized WordPress-based website and mobile app solutions delivered within 72 hours to 5 working days (depending on the chosen plan), paid for via a recurring subscription model. Our services include:

  • Initial website/app design and development based on client requirements.
  • Managed hosting and domain connection (domain registration costs may be separate).
  • SSL certificate implementation.
  • Regular security monitoring and software updates.
  • Daily backups.
  • A defined number of content update hours per month.
  • Access to a client dashboard for managing individual projects, subscriptions, and support tickets.
  • Customized software development and integrations available as add-ons, quoted based on time and materials.

3. Account Registration and Eligibility

  • To use our Service, you must register for an account and provide accurate and complete information.
  • You must be at least 18 years of age or the legal age of majority in Egypt to enter into this agreement.
  • You are responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
  • By subscribing, you represent that you are a legitimate business entity or an individual operating a business, and not a consumer for personal use.

4. Subscriptions, Fees, and Payments

  • Project-Centric Subscriptions: Each Website/Project you initiate will have its own independent subscription and associated fees.
  • Pricing: The prices for our service packages (Takeoff, Orbit, Galaxy, and Add-ons) are listed on our website and are subject to change with prior notice. All prices are in Egyptian Pounds (EGP).
  • Setup Fee: A non-refundable (as per our Refund Policy) Setup Fee is charged for each new Website project upon initiation.
  • Subscription Fees: Monthly subscription fees are billed in advance for each Website and are automatically renewed until cancelled.
  • Payment Gateway: All payments are processed securely through Paymob. By subscribing, you agree to Paymob’s terms of service and privacy policy. You authorize LaunchPad by CodeFarm to charge your chosen payment method via Paymob for all applicable fees. We do not store or process your sensitive payment methods on our servers.
  • Failed Payments: If a payment fails, we will notify you and attempt to re-process the payment.
  • Service Hold: If payment is not received within 7 days of the due date, we reserve the right to place the affected Website/Project on hold, which may include suspending access and/or making the website inaccessible to the public.
  • Termination for Non-Payment: If payment remains outstanding for 30 days from the due date, we reserve the right to terminate the Service for that specific Website/Project and delete its data, as per Clause 9.
  • Taxes: All fees are exclusive of applicable Egyptian taxes (e.g., VAT), which will be added where required by law.

5. Service Delivery and Client Responsibilities

  • Timeline: We commit to delivering your website/app within the timeframe specified for your chosen package, provided that you (the Client) supply all required content, assets (logos, images), and feedback in a timely manner. Delays in receiving necessary information from the Client will extend the project timeline.
  • Content Submission: You are solely responsible for providing all text, images, videos, product details, and other content for your Website. You guarantee that you have all necessary rights and permissions for all content you provide and that it complies with our Acceptable Use Policy.
  • Approval: You will be given opportunities to review and approve design and functional elements during development. Your timely feedback is crucial. Once approved, further changes may incur additional costs.
  • Content Management Hours: Each plan includes a specific number of monthly content update hours. Unused hours do not roll over. Additional hours can be purchased as an add-on.

6. Ownership and Licenses

  • Client Ownership: Upon full payment of all Setup Fees and active subscription, you (the Client) own the specific content, graphics, and data provided by you for your Website/Project.
  • Our Ownership: You acknowledge that LaunchPad by CodeFarm retains ownership of the underlying code, themes, plugins, tools, and proprietary systems (excluding any open-source components) used to build and manage the Service and your Website. We grant you a non-exclusive, non-transferable license to use these components solely in conjunction with our Service.
  • Domain Name: If you provide your own domain name, you retain ownership. If we assist with domain registration, it will be registered in your name, and you are responsible for its renewal.

7. Acceptable Use Policy (AUP)

You agree not to use the Service or your Website/Project for any purpose that is:

  • Illegal or unlawful under Egyptian or international law.
  • Hosting or promoting pornographic content, hate speech, or explicit material.
  • Harmful, threatening, defamatory, obscene, or harassing.
  • Infringes on the intellectual property rights of others.
  • Spamming, phishing, or distributing malware/viruses.
  • Operating pyramid schemes, multi-level marketing (MLM) schemes, or other fraudulent activities.
  • Engaging in any activity that could harm our servers, network, or other clients.

Violation of AUP: If we detect a violation of this AUP, we will issue a warning to the Client. If the Client fails to rectify the breach within 7 days of the warning, we reserve the right to suspend or terminate the affected Website/Project and potentially the entire Client account, without refund.

8. Service Level Agreement (SLA)

  • Hosting Uptime: We guarantee a 99.9% uptime for your hosted website/app, excluding scheduled maintenance, force majeure events, or issues originating from third-party services beyond our direct control.
  • Support Response Times:
    • For Critical Issues: We aim to respond within 3 hours.
    • For Non-Critical Issues: We aim to respond within 72 hours.
  • Maintenance: We will provide prior notice for any scheduled maintenance that may affect service availability.

9. Termination and Suspension

  • By Client: You may cancel any Website’s subscription at any time via your client dashboard. Cancellation will take effect at the end of your current billing cycle. No refunds for partial months will be provided after the initial 14-day refund period as outlined in our Refund Policy.
  • By LaunchPad by CodeFarm: We may suspend or terminate your Service for a specific Website/Project or your entire account immediately, without prior notice or liability, for reasons including:
    • Failure to make payments as outlined in Clause 4 (after the 7-day hold period and subsequent 30-day non-payment period).
    • Breach of these Terms, particularly the Acceptable Use Policy, if not remedied within 7 days of warning.
    • Any activity that endangers the security or integrity of our Service or other clients.
    • Any activity deemed illegal under Egyptian law.
  • Effects of Termination: Upon termination, your right to use the Service will immediately cease. We may delete your Website/Project data after a reasonable period (e.g., 30 days) following termination, without liability, in compliance with our data retention policy. We recommend you backup your data regularly.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. LaunchPad by CodeFarm MAKES NO WARRANTIES, EXPRESSED OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

11. Limitation of Liability

IN NO EVENT SHALL LaunchPad by CodeFarm, NOR ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (III) ANY CONTENT OBTAINED FROM THE SERVICE; AND (IV) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SPECIFIC AFFECTED SERVICE IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12. Indemnification

You agree to defend, indemnify, and hold harmless LaunchPad by CodeFarm and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password; b) a breach of these Terms; or c) content you submit to your Website/Project.

13. Governing Law and Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of the Arab Republic of Egypt.

Any dispute, controversy, or claim arising out of or relating to these Terms, including the validity, invalidity, breach, or termination thereof, shall be referred to and finally resolved by the competent Egyptian Courts in Cairo.

14. Changes to Terms and Conditions

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.
